CrystalView.ai End-User License Agreement (EULA)

IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING THE CRYSTALVIEW.AI APPLICATION AND SERVICES. BY USING THE SERVICES, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA.

1. Parties to the Agreement

This EULA is a legal agreement between you, the end-user ("You"), and CrystalView.ai ("CrystalView," "We," "Us," or "Our").

2. Grant of License

Subject to the terms and conditions of this EULA, CrystalView grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the CrystalView.ai application and its related services (the "Services") for your personal or internal business purposes.

3. Restrictions

You agree not to, and you will not permit others to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services.
  • Modify, adapt, translate, or create derivative works from the Services.
  • Rent, lease, lend, sell, sublicense, assign, distribute, publish, or otherwise transfer the Services to any third party.
  • Use the Services for any illegal or unauthorized purpose.
  • Use the Services in any manner that could interfere with, disrupt, or damage our systems or the services of others.
  • Use the Services to develop a competing product or service.

4. Intellectual Property Rights

You acknowledge and agree that CrystalView owns all right, title, and interest in and to the Services, including all intellectual property rights therein. The Services are protected by copyright, trademark, and other laws of the United States and foreign countries. You will not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Services.

5. User Data and Content

You retain all ownership rights to the data you provide to the Services, including your financial data and any other information you input ("Your Data"). However, by using the Services, you grant CrystalView a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and analyze Your Data for the sole purpose of providing and improving the Services. This includes using anonymized and aggregated data to train our AI models and enhance our application's functionality, as further detailed in our Privacy Policy.

6. Confidentiality

You acknowledge that the Services and any associated documentation contain confidential and proprietary information of CrystalView. You agree to maintain the confidentiality of this information and not to disclose it to any third party without our prior written consent.

7. Third-Party Services and Content

The Services may integrate with or provide access to third-party services, including financial institutions and data providers. Your use of these third-party services is subject to their own terms and conditions, and you agree to comply with them. CrystalView is not responsible for the privacy practices or content of these third-party services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRYSTALVIEW DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CRYSTALVIEW DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRYSTALVIEW, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR DATA, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY.

10. Indemnification

You agree to indemnify, defend, and hold harmless CrystalView and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your breach of this EULA.

11. Termination

This EULA is effective until terminated. You may terminate this EULA by ceasing all use of the Services. CrystalView may terminate this EULA at any time and without notice if you fail to comply with any of its terms. Upon termination, you must immediately stop using the Services.

12. Governing Law

This EULA and any action related thereto will be governed by the laws of the State of California without regard to its conflict of laws provisions. The exclusive jurisdiction and venue for any action or proceeding arising out of or related to this EULA shall be in the state and federal courts located in Alameda County, California, and you hereby consent to the personal jurisdiction of such courts.

13. Miscellaneous

This EULA constitutes the entire agreement between you and CrystalView regarding the use of the Services. If any provision of this EULA is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this EULA will otherwise remain in full force and effect.
